Amazon To Acquire 3.95% Equity Stake In EFG Holding’s Valu Ahead Of EGX Debut

Amazon has chosen to acquire a direct equity stake in Valu, the consumer finance subsidiary of EFG Holding, the investment bank announced on Sunday, just one day ahead of Valu’s scheduled debut on the Egyptian Stock Exchange (EGX).

By exercising its investment option, Amazon will obtain an approximate 3.95% ownership stake in Valu, officially known as U Consumer Finance.

Subject to regulatory approvals, the transaction will be executed during Valu’s first trading session on the EGX on June 23, 2025. The deal will be completed through a block trade at a share price of $0.12 (EGP 6.04).

Amazon originally signed an option agreement in 2022 to invest $10 million in EFG Holding’s Global Depository Receipts, with the right to convert the investment into a direct equity stake representing up to 4.255% of Valu’s share capital.

EFG Hermes acted as the sole financial advisor to EFG Holding and Valu on the transaction.

Valu operates as a financial technology platform in Egypt, offering a range of consumer finance solutions, including buy now, pay later services, investment products, and savings tools.

Karim Awad, Group CEO of EFG Holding, said Amazon’s decision reflects the group’s ability to build new ventures into market-leading businesses, highlighting Valu’s growth and positioning within Egypt’s fintech sector.

Valu’s listing
In March 2025, EFG Holding’s board approved Valu’s listing and decided to distribute a portion of its prior year profits to shareholders in the form of Valu shares instead of cash dividends. At the time, EFG Holding stated it would hold 20.488% of Valu directly, while maintaining at least a 67% stake through its subsidiaries.

In May, Valu confirmed plans to proceed with trading on the EGX following the completion of the in-kind dividend distribution by its parent company.
